My immediately preceding telegram.

Following is text of draft "China Defence (China Companies temporary transfer of registered office) Regulations 1941" begins.

Whereas by article 3 (2) of "The China (Emergency) order in council 1939" it is provided that His Majesty's Ambassador in China shall be substituted for His Majesty in Council as the authority empowered by the Emergency Powers (Defence) Act 1939 to make defence regulations for China as defined by the China order in Council 1925. hereby ordered as follows.

It is

1. In these regulations the following words have the meanings hereby respectively assigned to them that is to say "Ambassador" means His Majesty's Ambassador in China and includes Chargé d'Affaires or other Chief diplomatic representative. "Principal Order" means the China order in Council 1925. "China" and "China Company" have the meanings respectively assigned to them by the Principal Order. "Registrar of Companies" means the Registrar of Companies appointed under the Principal Order.

2. The Defence (companies temporary transfer of registered office) Regulations 1941 of the colony of Hong Kong shall apply to China companies and shall have effect as if in such regulations.

(A) for the word "Governor" wherever that word occurs were substituted the word "Ambassador".

(B) for the words "the colony" wherever those words occur were substituted the word "China".

(C) in regulation 2 (1) the words "companies ordinance 1932 were inserted the words "or the China Order in Coucil 1925".

(2) For the words company incorporated by or under any ordinance of the coy and having its registered office therein" were substited the words "China, Gompany!"

(D) in regulation 3 the words, " a desire to avoid taxation shall not be considered a valid gound for the grant of such approval" were omitted.
